Wholesale Conditions of Sale
ACCEPTANCE OF ORDERS: All orders are subject to acceptance by The Kyjen Company. Each order for the product listed is received by seller’s representatives with the understanding that acceptance by seller does not extend to or include the acceptance by The Kyjen Company of any of the terms, conditions and provisions appearing on any order submitted on buyer’s order forms.
PRICES: This list is a price listing of products and prices and is not an offer to sell. All prices listed herein are subject to change by The Kyjen Company without notice. Merchandise is invoiced at prices in effect on the day the order is received at The Kyjen Company. No claim for rebate on price declines is allowed, nor do we make claims on purchase of our products or price increases.
TERMS: See invoice for payment terms with approved credit (a 2% finance charge will be applied monthly to all past due invoices). $25.00 will be charged on all returned checks.
DISCOUNTS: All discounts are null and void of invoice if not paid within terms.
ROUTING OF ORDERS: All orders should be emailed to Kyjen directly at orders@kyjen.com .
FREIGHT POLICY: Freight charges may be deducted from invoice on orders over minimum if paid within terms. If payment is not received within terms of invoice date, freight may not be deducted and will be billed if deducted improperly.
SHIPMENT: Orders are shipped prepaid FOB City of destination (unless otherwise agreed to in writing). Title to and risk of loss of the good passes to the customer at time of delivery to the customer.
SHORTAGE, DAMAGE OR LOSS: The responsibility for delivery in good order is the carrier’s. All goods must be inspected by the customer at the time of arrival and any shortage, damage, or loss which occurred during transit must be disclosed and acknowledged by the carrier.
- For parcel post shipments, immediate notice of damage or shortage should be sent directly to The Kyjen Company.
- For all other carriers the customer should:
- Refuse to accept any parcel showing damage. If part of a shipment is accepted the carrier’s delivery receipt noting the refusal, together with a list of items damaged or missing, should be sent to The Kyjen Company.
- If concealed damage or shortage is found after opening the shipment, the customer should immediately contact the transportation company to send an inspector. When concealed damage occurs, the remaining merchandise, packing material and carton must be retained by the customer for the inspector. After inspection, the delivery bill and the inspection report together with a list of damaged or missing items should be sent to The Kyjen Company.
- Upon notification, The Kyjen Company will advise the disposition of the damaged material.
- The Kyjen Company will process and adjust all claims provided the customer follows these general rules and report shortages, damages or loss within 20 days of delivery.
- No adjustments will be made if these general rules and time limits are not followed.
- The Kyjen Company reserves the right to have damaged merchandise returned before credit is issued. Therefore, destruction of damaged merchandise prior to our authorization is at the customer’s risk.
RETURNED GOODS POLICY:
- Permission for a return or and exchange can be obtained from The Kyjen Company by written request to the Customer Service Team at orders@kyjen.com. Only items approved in this manner will be accepted for credit. An approved itemized list must accompany returned items. A Kyjen Company Representative is not authorized to remove goods from any place of business, regardless of the reason for return. Our Warehouse will refuse any product if returned without prior authorization, or an RMA number. All returns, with the RMA #, should be sent to:

- DIRECT CUSTOMERS: Full credit will be allowed on product authorized returns in unopened containers up to 3 months past invoice date. Returns received after 3 months of invoice date will receive no credit. Returns are not deductible from settlements until credit memorandum is issued. All items returned will be credited at the price per unit in effect at the time of original invoice.
NON-DIRECT CUSTOMERS: Authorized returns should be made to the supplier from whom the good were purchased. - Products are accepted for return on the understanding that they are subject to our evaluation at the time of receipt. The Kyjen Company reserves the right to destroy products which are returned outside the above policy and which are unfit or unsafe for sale.
- The Kyjen Company will consider all reasonable requests for the return of merchandise for credit. The following however, are not considered returnable.
- Merchandise expressly sold on a non-returnable basis or returned by someone other than the original purchaser.
- Merchandise damage by fire, flood, natural disaster, or improper storage, and merchandise involved in a fire, sacrifice or bankruptcy.
